AI Horse-Powered Systems™ provides an AI-powered workforce platform that enables businesses to deploy AI employees for marketing, sales, operations, customer support, and related business functions (the "Service"). The Service includes the AI Horse-Powered Workspace™, AGI Workhorse™, AI CRM, Ad Manager, and related tools and integrations.

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. By using the Service, you represent and warrant that you meet these requirements.

To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account. Certain features of the Service are available on a subscription basis. By subscribing, you agree to pay the applicable fees as described at the time of purchase. We may offer a free trial period for new users. At the end of the free trial, your account may be automatically converted to a paid subscription unless you cancel before the trial period ends. We reserve the right to modify or terminate free trial offers at any time.

By submitting content, you grant AI Horse-Powered Systems™ a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content solely for the purpose of providing the Service. The Service may integrate with or link to third-party platforms (e.g., Meta, Google, HubSpot). Your use of such third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AI HORSE-POWERED SYSTEMS™ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless AI Horse-Powered Systems™ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use the Service will immediately cease.

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which AI Horse-Powered Systems™ is incorporated, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction in that state.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
